1. INTRODUCTION
These Terms & Conditions ("Terms") govern your use of the Shinogi website located at www.shinogi.co and the purchase of any products through it. By accessing our website or placing an order, you agree to be bound by these Terms in full.
Shinogi is a trading name of Lone Wolf and Cub Limited, a company registered in Hong Kong SAR, with its registered address at Flat/RM 906A, 9/F, Eastern Centre, 1065 King's Road, Quarry Bay, Hong Kong SAR.

2. ABOUT OUR PRODUCTS
Shinogi designs and sells the Case 15-25, a professional knife case system engineered to protect the tools professionals rely on, combining technical precision, utilitarian design, and purpose-driven durability for real daily use.
All products are sold subject to availability. We reserve the right to discontinue any product at any time without notice.
3. ELIGIBILITY TO PURCHASE
By placing an order with Shinogi, you confirm that you are legally permitted to purchase and possess the products in your jurisdiction. It is your sole responsibility to ensure that importing, owning, carrying, or transporting knife-related products complies with the laws and regulations of your country, state, or region.
Shinogi accepts no liability for any legal consequences arising from the purchase, ownership, transportation, or use of our products in jurisdictions where restrictions may apply. If you are in any doubt, we recommend seeking local legal advice before placing an order.
4. ORDERS & CONTRACT FORMATION
4.1 Placing an Order By completing the checkout process on our website, you are making an offer to purchase the selected products subject to these Terms. All orders are subject to acceptance by Shinogi.
4.2 Contract Formation A binding contract between you and Shinogi is formed at the point your payment is successfully processed. You will receive an order confirmation email at that time, which serves as acknowledgement of your order. This confirmation does not constitute our acceptance of your order if we subsequently identify an issue as outlined in clause 4.3.
4.3 Right to Cancel or Refuse Orders Shinogi reserves the right to cancel or refuse any order, at our discretion, in the following circumstances:
- A product is out of stock or no longer available
- A pricing or product description error has occurred on the website
- We reasonably suspect fraudulent activity or a breach of these Terms
- We are unable to fulfil delivery to your location
If your order is cancelled after payment has been processed, you will receive a full refund to your original payment method within a reasonable timeframe. We will notify you by email if your order is refused or cancelled.
4.4 Order Accuracy It is your responsibility to review your order carefully before completing checkout. For personalised or custom-made products, please ensure all details submitted are accurate. Shinogi cannot accept responsibility for errors in personalisation instructions provided by the customer.
5. PRICING & PAYMENT
5.1 Pricing All prices displayed on our website are in [INSERT CURRENCY] and are exclusive of applicable taxes, duties, and shipping costs unless otherwise stated. Taxes will be calculated and displayed at checkout based on your delivery location.
Shinogi reserves the right to amend product prices at any time. The price applicable to your order is the price displayed at the time your order is placed and payment is processed.
5.2 Payment Methods We currently accept the following payment methods:
- Credit and debit card via Shopify Payments
- Apple Pay
- Google Pay
- Bank transfer
- PayPal
Full payment is required at the time of placing your order. Orders will not be processed or dispatched until payment has been confirmed. For bank transfer payments, dispatch will be held until funds have cleared.
5.3 Payment Security All card transactions are processed securely through Shopify Payments. Shinogi does not store your full card details. PayPal transactions are subject to PayPal's own terms and privacy policy.
6. SHIPPING & DELIVERY
As Shinogi does not operate a separate Shipping Policy page at this time, the following terms govern all deliveries.
6.1 Dispatch & Processing Orders are processed and dispatched in accordance with the timeframes indicated on our website at the time of purchase. Processing times may vary depending on whether your order includes personalised or custom-made items, which require additional production time. You will be notified by email when your order has been dispatched.
6.2 International Shipping Shinogi ships worldwide. Delivery timeframes and shipping costs vary by destination and will be displayed at checkout. All quoted delivery timeframes are estimates only and are not guaranteed. Shinogi shall not be liable for delays caused by circumstances outside our reasonable control, including but not limited to customs processing, carrier disruptions, extreme weather events, public holidays, or geopolitical circumstances affecting courier operations.
6.3 Restricted Destinations Shinogi will not ship to destinations where courier services have been suspended or where delivery is not reasonably practicable due to geopolitical circumstances, international sanctions, or carrier restrictions. If we are unable to fulfil delivery to your location, we will notify you and issue a full refund.
6.4 PO Boxes & Freight Forwarders Shinogi may be able to ship to PO boxes or freight forwarder addresses in certain locations. This is assessed on a case-by-case basis. If you intend to use a freight forwarder, please contact us at info@shinogi.co before placing your order. Shinogi accepts no responsibility for loss, damage, or delay once an order has been accepted by a freight forwarder.
6.5 Customs, Duties & Import Taxes For international orders, customs duties, import taxes, and any associated fees imposed by your country's authorities are not included in our product prices or shipping charges. These charges are the sole responsibility of the customer. Shinogi has no control over customs processing times or the fees levied by local authorities. We recommend checking your local customs regulations before placing an order.
6.6 Lost or Damaged in Transit Shinogi takes responsibility for orders that are lost or damaged in transit. If your order arrives damaged or is confirmed lost, please contact us at info@shinogi.co within 7 days of the expected delivery date. We will investigate with the carrier and, where the claim is upheld, offer a replacement or refund at our discretion.
7. RETURNS, EXCHANGES & REFUNDS
Shinogi operates a strict no returns and no refunds policy, except in the circumstances set out below. By placing an order, you acknowledge and accept this policy.
Full details of our returns process are set out in our Refund & Returns Policy, which is incorporated into these Terms by reference.
7.1 Defective Items If you receive an item that is defective or faulty, you must notify us within 7 days of receipt of your order by emailing info@shinogi.co. Your notification must include:
- Your order number
- A clear description of the defect
- Photographic evidence of the fault
Once we have reviewed your claim and approved it as a genuine defect, you will be required to return the item to us. Return shipping costs for approved defective items will be covered by Shinogi. Upon receipt and inspection of the returned item, we will dispatch a replacement of the same product at no additional cost to you.
7.2 Personalised & Custom-Made Items The same defect process outlined in clause 7.1 applies to personalised and custom-made items. Personalised items are otherwise non-returnable and non-refundable under any circumstances, including where the customer has provided incorrect personalisation details.
7.3 No Cash Refunds Shinogi does not offer cash refunds except where required by applicable Hong Kong consumer protection law. Our remedy for approved defective items is exchange only.
7.4 Warranty Shinogi products do not carry a formal manufacturer's warranty. However, if you experience any issue with your product at any time after purchase, we encourage you to contact us at info@shinogi.co. We will review all product concerns on a case-by-case basis and endeavour to reach a fair resolution.
8. INTELLECTUAL PROPERTY
8.1 Ownership All intellectual property rights in and to the Shinogi brand, website, product designs, imagery, written content, logos, and trademarks are owned exclusively by Lone Wolf and Cub Limited. Nothing in these Terms or your purchase of our products transfers any intellectual property rights to you.
8.2 Customer Use of Brand Assets You are welcome to share and repost Shinogi product images on your personal social media accounts freely. You may not use our brand assets, imagery, or content for commercial purposes, advertising, or in any way that implies an official endorsement or affiliation with Shinogi without our prior written consent.
8.3 User-Generated Content When you tag Shinogi on social media, submit photographs, post reviews, or share any content featuring our products ("User-Generated Content" or "UGC"), you grant Lone Wolf and Cub Limited a non-exclusive, royalty-free, worldwide, perpetual licence to use, reproduce, adapt, publish, and display that content across our marketing channels, website, and social media platforms.
By submitting or tagging UGC, you confirm that you own or have the right to share the content, and that our use of it will not infringe any third-party rights. We will endeavour to credit you where reasonably practicable, though we are not obligated to do so. If you do not wish your content to be used in this way, please contact us at info@shinogi.co and we will remove it promptly upon request.
9. PROMOTIONS & DISCOUNT CODES
9.1 Subscriber Discount Shinogi offers a one-time 10% discount to customers who subscribe to our mailing list. This discount is valid on one order only, is non-transferable, and has no cash alternative. The discount cannot be combined with any other offer or promotion unless expressly stated.
9.2 General Promotional Terms From time to time, Shinogi may offer promotional discount codes, limited-time offers, or other incentives. Unless otherwise stated, the following conditions apply to all promotions:
- One use per customer
- Cannot be exchanged for cash or cash equivalent
- Cannot be combined with other offers
- Shinogi reserves the right to withdraw or amend any promotion at any time without notice
- Promotions apply to eligible products only and are subject to availability
10. LIMITATION OF LIABILITY
10.1 Scope of Liability To the fullest extent permitted by the laws of Hong Kong SAR, Shinogi's total liability to you in connection with any order, product, or claim shall not exceed the purchase price paid by you for the specific product giving rise to the claim.
10.2 Exclusions Shinogi shall not be liable for any indirect, incidental, consequential, or special losses arising from your purchase or use of our products, including but not limited to loss of profit, loss of data, loss of business, or any damage caused by the use or misuse of our products after delivery.
10.3 Customer Responsibility Once a product has been delivered to you, you assume full responsibility for its safe handling, storage, transportation, and use. Shinogi accepts no liability for any injury, damage, or legal consequence arising from the use, misuse, or improper transportation of our products after delivery. It is your responsibility to comply with all applicable laws regarding the carrying and transportation of knives and knife-related accessories in your jurisdiction.
10.4 Website Accuracy Shinogi makes reasonable efforts to ensure that all product descriptions, images, and pricing displayed on our website are accurate. However, we do not warrant that the website is free from errors. Product colours and finishes may appear slightly different on screen depending on your device's display settings.
Nothing in these Terms limits or excludes liability that cannot be excluded under applicable Hong Kong law, including liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
11. DISPUTE RESOLUTION
11.1 Informal Resolution In the event of any dispute, complaint, or claim arising from these Terms or your purchase from Shinogi, we encourage you to contact us first at info@shinogi.co. We ask that you allow us up to 60 days from the date of your initial contact to attempt to resolve the matter informally before pursuing any formal legal proceedings.
11.2 Governing Law These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
11.3 Jurisdiction You agree that the courts of the Hong Kong Special Administrative Region shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or your purchase of products from Shinogi.
12. AMENDMENTS TO THESE TERMS
Shinogi reserves the right to amend, update, or replace these Terms at any time without prior notice. Any changes will take effect immediately upon being posted to our website. Your continued use of our website or placement of an order following any amendment constitutes your acceptance of the updated Terms. We recommend reviewing this page periodically.
13. GENERAL
13.1 Entire Agreement These Terms, together with our Refund & Returns Policy and any other policies referenced herein, constitute the entire agreement between you and Shinogi in relation to your purchase and supersede all prior communications or representations.
13.2 Severability If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.
13.3 Waiver Failure by Shinogi to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.
